Terms of Service

These Terms of Service (“Terms”) are an agreement between you and CheckSmith.ai Technologies (“CheckSmith.ai,” “we,” “us,” or “our”). By creating an account or using our website, applications, or services (the “Service”), you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

1. Your Account

You must provide accurate information, keep your credentials secure, and be at least 18 years old. You are responsible for everything that happens under your account and for the people you invite into your workspace. Workspace owners control roles and access, and may add, remove, or restrict members at any time.

2. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis through our payment processor. Fees, trial lengths, and included limits are shown on the pricing page at the time you subscribe. Subscriptions renew automatically until cancelled, and cancelling stops future charges without refunding the current period unless the law requires otherwise. Optional add-ons, such as the HOV Lane fast support response, are charged as described when you request them. We may change prices with at least 30 days' notice before your next renewal.

3. Acceptable Use

Do not use the Service to break the law, send fraudulent or unauthorized payment instructions, launder funds, infringe someone else's rights, upload malicious code, probe or overload our systems, resell access without permission, or attempt to reach data belonging to another workspace. We may suspend access immediately when we reasonably believe use falls into these categories.

4. Your Data

You keep ownership of the data you and your team enter — clients, invoices, ledger entries, payroll and settlement records, dispatches, and uploaded documents. You grant us the limited rights needed to host, process, back up, and display that data so we can operate the Service for you. Handling of personal information is described in our Privacy Policy. Workspace owners can export or delete workspace data from settings.

5. Payments, Checks, and Bank Features

CheckSmith.ai is accounting and payment-preparation software, not a bank, money transmitter, or tax advisor. Printed checks, ACH direct deposit runs, invoices, and tax figures are produced from the information you supply, and you are responsible for reviewing them for accuracy before they are issued, mailed, or filed. Bank connections, ACH enablement, and card payments are provided by third-party financial partners under their own terms, and their approval decisions are theirs to make.

6. AI Features

Ask Alice and other assisted features generate suggestions from your workspace data. Output can be incomplete or wrong, so review it before you rely on it for accounting, payroll, tax, or payment decisions. Assisted output is not professional accounting, legal, or tax advice.

7. Our Intellectual Property

The Service, including its software, design, and the CheckSmith.ai, Ask Alice, and FleetSmart.ai names and logos, belongs to us and our licensors. You may not copy, modify, reverse engineer, or create derivative works from the Service except as permitted by law. Feedback you send us may be used to improve the Service without obligation to you.

8. Third-Party Services

The Service connects to providers such as payment processors, banking data providers, email delivery, and load boards. Your use of those integrations is also governed by the provider's terms, and we are not responsible for their availability, decisions, or data.

9. Service Availability

We work to keep the Service available and may perform maintenance, add features, or retire features over time. We will give reasonable notice before removing a feature your workspace depends on.

10. Disclaimers

Except as expressly stated in these Terms and to the extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results will meet your requirements.

11. Limitation of Liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the claim arose.

12. Suspension and Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for non-payment, a breach of these Terms, or risk to the Service or other customers. After termination we retain your data for a limited period so you can export it, then delete it as described in our Privacy Policy.

13. Changes to These Terms

We may update these Terms. We will post the revised version on this page and update the “Last updated” date, and for material changes we will give notice in the application or by email. Continued use after changes take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Collin County, Texas have exclusive jurisdiction over disputes, except that either party may seek injunctive relief where appropriate.
